Terms of Service

Effective April 28, 2026 · Operator: Prosolutions Technology LLC ("Prosolutions", "we", "us"), a limited-liability company. Service: Chip.IT Mechanical ("the service", "the app"). User: any person who accesses or uses the service ("you").

By creating an account, signing in, or otherwise using Chip.IT Mechanical you accept these Terms of Service in their entirety. If you do not agree, do not use the service.

1. The service in plain language

Chip.IT Mechanical is a personal record-keeping tool for vehicles, equipment, and other engine-driven assets. It lets you log maintenance, attach photos, receive reminders, and pair NFC chips so that anyone tapping a chip with their phone can be routed to the correct asset record. The service is provided as a tool, not as a regulated automotive, legal, insurance, or law-enforcement service. 2. Eligibility

  • You must be at least 13 years old (16 in the EU/EEA) to create an account.
  • You must provide a valid, working email address that you control.
  • You may not use the service if you are barred from it under U.S. or other applicable law, or if a previous account of yours has been terminated by us for cause.

3. Your account

  • You are responsible for everything that happens under your account, including any sharing or chip-transfer offers it sends.
  • Choose a strong password (and turn on the optional 4-digit app-open PIN if your device may be used by others).
  • Notify us immediately at legal@mychipit.com if you suspect your account has been accessed by someone else.
  • One person, one account. Don't share credentials with another person — invite them as a shared user instead.

4. Your content

  • You retain all rights to the data, photos, notes, and other content you upload ("Your Content").
  • You grant Prosolutions a worldwide, royalty-free, non-exclusive licence to host, display, transmit, back up, and otherwise process Your Content solely to operate and provide the service to you. We do not use Your Content for advertising, training, or any other purpose.
  • You confirm that you have the right to upload everything you upload and that it does not infringe anyone else's rights.
  • You are responsible for keeping your own backups of anything you cannot afford to lose.

5. NFC chip ownership rules

  • The first user to pair a chip becomes its permanent owner. From that point on, only that owner (or an administrator acting on their behalf) can re-pair the chip — even after it has been unpaired from a vehicle.
  • You may unpair, re-pair, disable, or release a chip you own at any time from Settings → My NFC chips.
  • Chips are issued in batches by Prosolutions. We retain the right to disable a specific chip code if it has been confirmed stolen, counterfeited, or used to abuse the service.
  • Tapping someone else's chip never grants you access to their data — every protection in the Privacy Notice still applies.

6. Chip & vehicle transfers

  • The transfer flow is intended for genuine sales, gifts, or estate transfers of the underlying vehicle.
  • When a transfer is accepted, the vehicle, every maintenance log, every uploaded photo, and the chip itself permanently move to the recipient's account. The seller stops seeing them; the buyer starts seeing them.
  • Pending transfers expire automatically after 14 days. The seller can cancel a pending transfer at any time before it is claimed.
  • You agree not to use the transfer flow to launder ownership of stolen property. Initiating a transfer of a vehicle currently flagged stolen is a violation of these terms.

7. Sharing

  • Sharing a vehicle with another Chip.IT account grants the recipient read access (and any write privileges you've explicitly enabled) to that vehicle's record.
  • You can revoke sharing at any time from Settings → Sharing.
  • You are responsible for ensuring the people you share with have a legitimate reason to see the records.

8. Acceptable use

You agree not to:

  • Upload content you don't have the right to upload, including someone else's photos, copyrighted manuals, or another person's personal information.
  • Use the service to harass, threaten, defame, or stalk anyone — including by misusing a stolen-vehicle report.
  • Falsely flag a vehicle as stolen, file a fraudulent transfer offer, or attempt to claim a chip you do not legitimately own.
  • Attempt to gain unauthorised access to any other account, server, or chip.
  • Probe the service for vulnerabilities without first contacting us at security@mychipit.com, or run automated scrapers, DDoS, brute-force, or spam tooling against any endpoint.
  • Reverse-engineer the proprietary parts of the service, except to the limited extent that this restriction is unenforceable under your local law.
  • Resell, sublicence, or operate a competing public maintenance-record service powered by the data inside Chip.IT.

9. Service availability

We work hard to keep the service running. We do not guarantee uninterrupted access, that the app will be free of bugs, that reminders will arrive at any specific moment, or that any specific feature will continue to exist forever. We may add, change, or remove features as the product evolves.

10. Suspension & termination

  • You can close your account at any time by emailing legal@mychipit.com.
  • We may suspend or terminate an account that violates these terms, that endangers the safety of other users, or that abuses the service. Where reasonable we'll warn you first.
  • On termination, sections 4 (your-content licence to operate the service), 11 (disclaimers), 12 (liability), 13 (indemnity), and 15 (governing law) survive.

11. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or that any defect will be corrected.

12. Limitation of liability

To the maximum extent permitted by law, Prosolutions Technology LLC and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or vehicles, arising from or relating to your use of the service.

Our total aggregate liability to you for any and all claims arising out of or relating to the service is limited to the greater of (a) the amount you have paid us for the service in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

13. Indemnity

You agree to defend, indemnify, and hold harmless Prosolutions Technology LLC and its officers, employees, and contractors from and against any claim, damage, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your violation of these terms, (c) your violation of any third party's rights, including in connection with a fraudulent or improper chip transfer or stolen-vehicle report.

14. Changes to these terms

We may update these terms from time to time. If a change is material we will surface a banner inside the app on your next sign-in, with a link to the new version, before it takes effect. Continued use of the service after the effective date constitutes acceptance of the new terms.

15. Governing law & disputes

These terms are governed by the laws of the United States and the State in which Prosolutions Technology LLC is domiciled, without regard to its conflict-of-law rules. The state and federal courts located in that State have exclusive jurisdiction over any dispute arising out of or relating to these terms or the service, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or its security infrastructure.

16. Miscellaneous

  • These terms, together with the Privacy Notice and the Accuracy & Liability Disclaimer, are the entire agreement between you and Prosolutions concerning the service.
  • If any provision is held unenforceable, the remainder stays in effect.
  • Our failure to enforce a provision is not a waiver of that provision.
  • You may not assign these terms; we may assign them to a successor in connection with a merger, acquisition, or asset sale.
